These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("HKSAR"), without regard to its conflict of laws principles.

These Terms constitute the entire agreement between you and UME regarding the subject matter. If any provision is held invalid, the remainder shall continue in full force. Our failure to enforce any right does not waive it. You may not assign these Terms without our consent; we may assign freely.
